Responsibilities

What the Board carries.

How decisions are made

Clear rules, shared accountability.

Two-thirds majority

Decisions of the Board are made by a two-thirds majority vote of the voting members.

Quarterly meetings

The Board meets quarterly — preferably virtually or in person — with agendas prepared by the Chair and Coordinator.

Proxies

A member unable to attend may designate a proxy to participate and vote, so each region stays represented.

New partners

Reviewed against agreed criteria and presented at the AGM, where partners vote on their approval.

Vacancies & resignation

A vacant seat is filled by the relevant region's vote, ensuring continuity in representation.

Annual General Meeting

Held within four months of the fiscal year's end; motions pass with a clear majority of partners present.

Addendum

The CoNEXT Coordinator.

A non-voting role that keeps the partnership running smoothly — strengthening collaboration, facilitating communication, and supporting key initiatives.

Built on trust

Governance that serves the mission.
